Welcome to the HEREA website (hereinafter referred to as the “Website” and/or “Site”), which can be accessed through the URL addresses under the HEREA domain, namely www.herea.com and/or its related addresses.

The use of this Site, as well as the use of the HEREA Mobile Application on your smartphone and/or portable device (hereinafter the “Mobile Application”), are subject to these Terms and Conditions of Use (hereinafter the “Terms”), which are detailed below.

These Terms constitute a legal and binding agreement between you and HEREA, and therefore it is of vital importance to point out that this agreement is intended to protect your rights as a customer and the rights of HEREA as a legal entity. Considering the foregoing, before using and/or placing an order through the Site and/or the Mobile Application, we ask that you carefully read these Terms, our Privacy Policy, our Shipping Policy, and our Exchange and Return Policy (collectively referred to as the “Policies”).

OUR TERMS MAY SEEM TECHNICAL AND LEGAL, BUT THEY ARE FUNDAMENTAL FOR USING THE SITE, THE MOBILE APPLICATION AND/OR FOR PLACING AN ORDER THROUGH THE SITE AND/OR THE MOBILE APPLICATION, IN SUCH A WAY THAT YOU ACCEPT THESE TERMS AND POLICIES WITHOUT RESERVE OR CONDITION, AND YOU COMMIT TO COMPLY WITH THE PROVISIONS SET FORTH THEREIN, ACKNOWLEDGING THAT YOU HAVE BEEN LEGALLY ADVISED BY INDEPENDENT COUNSEL, AND THEREFORE RECOGNIZE THE SCOPE OF THESE TERMS. This includes, without limitation, the acceptance of the waiver of the right to file class action lawsuits, the exclusion of warranties, the limitations of liability and remedies, as well as the application of the applicable Mexican laws in force in accordance with the provisions of these Terms.

It is important to note that if you do not agree with these Terms and with the Policies, whether in whole or in part, you must not use the Site, the Mobile Application, or any of the services offered through them, nor place orders through said means, as using them constitutes the broadest form of consent thereto.

These Terms constitute an agreement between you (hereinafter “you” and/or “your”) and HEREA RETAIL, S.A. DE C.V., a commercial company incorporated in accordance with Mexican law, with registered address at Paseo de la Espuela 306, Residencial La Hacienda, Torreón, Coahuila, C.P. 27276, Mexico (hereinafter collectively referred to as “we,” “our,” “HEREA,” or the “Provider”), in relation to the use of the Site and/or the Mobile Application, as well as the goods and services offered and marketed through the Website and/or the Mobile Application, and any order you place through them (collectively referred to as the “HEREA Goods and Services”).

PURPOSE

The main purpose of these Terms is to establish the conditions that will govern the use of the Site and/or the Mobile Application, as well as the services offered by HEREA to users who access, use, or register on www.herea.com and/or its related addresses. Through these Terms, you acknowledge, accept, and confirm that the use of the Site and/or the Mobile Application implies full and unconditional acceptance of each of the Clauses herein. 

USER OBLIGATIONS REGARDING THE USE OF THE WEBSITE AND/OR MOBILE APPLICATION.  

You accept, confirm, and undertake that by using the Site and/or Mobile Application, you will assume the following obligations:

I. You may only use the Website and/or the Mobile Application to place orders, as well as for lawful purposes related to the purchase and sale of products that HEREA makes available to you through the Site and/or the Mobile Application.

II. You shall not place false and/or fraudulent orders, nor engage in any action that may be considered unlawful. In the event that we reasonably believe an order of this nature has been placed, we shall be entitled to cancel it and/or report it to the corresponding competent authorities.

III. You undertake to provide truthful and accurate information, including your email address, home and/or mailing address, as well as any other contact details required to deliver the requested order. Furthermore, you acknowledge that we may use such information to contact you if necessary. For more details, please refer to our Privacy Policy and our Privacy Notice.

IV. You accept and acknowledge that if the required information is not provided, we may be unable to process your request or provide the requested services, and therefore you accept and acknowledge that HEREA shall not assume any liability for claims and/or complaints that may arise from such omission.

V. You declare, confirm, and undertake not to interfere in any way with the networks of the Site and/or Mobile Application and/or our social media networks. Likewise, you agree not to interfere with their security, nor attempt to gain unauthorized access to other computer systems through the use of the Site and/or Mobile Application.

VI. You shall not use the Site and/or the Mobile Application to communicate, transmit, or publish content that infringes the intellectual property rights, privacy, and/or image rights of HEREA or third parties. Likewise, you agree that in the event of engaging in such conduct, HEREA may pursue the corresponding administrative, civil, and/or criminal actions arising therefrom.

VII. You shall not use the Site and/or the Mobile Application to engage in conduct that constitutes a crime, nor any action and/or behavior that constitutes an administrative and/or civil infraction, and/or that violates any Municipal, State, Federal, and/or international law or regulation. Likewise, you agree that in the event of engaging in such conduct, HEREA may pursue the corresponding administrative, civil, and/or criminal actions arising therefrom.

VIII. By placing any type of order through the Site and/or the Mobile Application, you declare and warrant that you are at least 18 years of age, and that you have the legal capacity to be subject to the fulfillment of these Terms, as well as to enter into any binding contract and to be held accountable in the event of any dispute and/or breach of these Terms and Policies. 

USERS CONDUCT 

You agree and undertake to refrain from doing and shall not do the following:

I. Using the Site and/or the Mobile Application in any way that may cause damages HEREA, its affiliates, suppliers, or customers, or that may affect the ability of other users to use the Site and/or the Mobile Application.

II. Using the Site and/or the Mobile Application to engage in activities that infringe the rights of third parties, including, without limitation, intellectual property rights, privacy, or name and likeness rights.

III. Using the Site and/or the Mobile Application in a manner that may damage, disable, overload, or negatively affect the operation of the Site and/or the Mobile Application, or interfere with the use and enjoyment of other users.

IV. Use the Site and/or the Mobile Application to advertise, offer, sell, or purchase goods or services for commercial purposes, unless expressly authorized by HEREA.

V. To upload or transmit content that is harmful, illegal, threatening, abusive, harassing, defamatory, vulgar, obscene, slanderous, invasive of third-party privacy, offensive, or discriminatory on racial, ethnic, or other grounds.

VI. To post or transmit unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of commercial solicitation.

VII. To impersonate any person or entity, or falsely state or misrepresent your relationship with any person or entity.

VIII. To attempt to gain unauthorized access to other computer systems or networks connected to the Site and/or the Mobile Application.

IX.  To use robots, spiders, or other automatic devices to access the Site and/or the Mobile Application for any purpose, including monitoring or copying materials.

X.  To use framing techniques to include trademarks, logos, or other protected information (including images, text, page layout, or forms) of HEREA without express written authorization.

XI. To use meta-tags or other hidden text containing the name or trademarks of HEREA without express written authorization.

XII. To engage in conduct that limits or prevents other users from using or enjoying the Site and/or the Mobile Application. 

TERRITORY 

You accept and acknowledge that the products offered by HEREA through the Site and/or Mobile Application are available only in the countries indicated in our Shipping Policy. 

PRODUCT AVAILABILITY  

All orders are subject to availability. In the event of supply difficulties or if a requested product is not in stock, HEREA reserves the right to offer you similar products, both in design and quality, and of equal or greater value. If you do not wish to acquire such similar products, the amount you have paid will be refunded. 

PRICE AND PAYMENT

The rates, prices, and charges for the products will be indicated in Mexican pesos and/or in the legal currency of Mexico, and HEREA may, at its discretion, indicate them in other types of currencies and/or foreign exchange.

The price of the products will be the one indicated on the Site and/or the Mobile Application, except in the case of an obvious error. Although we strive to ensure that all prices are accurate, errors may occur. If an error in the price of any product is detected, you will be notified as soon as possible, and you will have the option to confirm the order at the correct price or cancel it. If we are unable to contact you, the order will be canceled and the amount paid will be refunded.

You acknowledge and confirm that HEREA shall not be obliged to sell you the product at an incorrect price, even if an order confirmation has already been sent to you, when the pricing error is obvious and reasonably identifiable by you, as well as in any other case.

All prices exclude shipping costs and applicable taxes. The total cost of the order will include the product price, shipping costs, and corresponding taxes. Once the purchase has been completed, the selected products will be added to your cart. You acknowledge and confirm that payment will be made to HEREA. Furthermore, HEREA states that the amount may be charged to the credit and/or debit card even if the order has not yet been shipped to the delivery address.

In addition, you confirm and declare that by clicking the “Place Order” button, you declare and warrant that you are the holder of the payment method used, namely, credit and/or debit card. You also acknowledge that the cards used on the Site and/or Mobile Application will be subject to verification and authorization by the issuer. Nevertheless, you acknowledge and confirm that if HEREA does not receive the corresponding authorization, it shall not be liable for any delays and/or failure to deliver.

In the event that the payment method is PayPal® and/or ApplePay® and/or another type of payment platform, the charge will be made at the time of order confirmation. 

PURCHASE CONTRACTS 

You accept and confirm that no contract shall exist regarding the purchase of any product offered through the Site and/or the Mobile Application between you and us until your order is accepted and we send you the Order Confirmation (as defined below). If we do not accept your order and the funds have already been deducted from your account, a full refund will be issued.

To place an order, you must follow the online purchase process and click the “Place Order” button to complete it. You will then receive an email confirming receipt of your order (“Order Placed”). Your order constitutes an offer to purchase one or more products. All orders you place are subject to our acceptance, which will be confirmed by sending an email indicating that the product has been dispatched (“Order Confirmation”).

You acknowledge and confirm that HEREA shall not be obligated to supply other products that may have been included in your order until the dispatch of such products has been confirmed in a separate Order Confirmation. Notwithstanding the foregoing, the purchase amount will not be charged to the debit and/or credit card and/or the payment method used for the purchase until the order is accepted by HEREA; however, a pre-authorization and hold of funds may be reflected immediately after the order is placed. 

ORDER REJECTION 

HEREA reserves the right to withdraw any product from the Site and/or the Mobile Application at any time, as well as to delete or modify any published content or material. The foregoing applies regardless of HEREA making reasonable efforts to process all orders placed; however, exceptional circumstances may arise that compel us to reject an order even after an “Order Confirmation” has been sent. Therefore, you accept and acknowledge that despite placing your order, it may be rejected, as HEREA reserves the right to reject orders at any time and at its sole discretion.

Furthermore, you acknowledge and confirm that HEREA shall not be liable to you or to third parties for the withdrawal of products from the Site and/or the Mobile Application, regardless of whether they have been sold or not, nor for the deletion or modification of content, nor for the rejection of orders after an Order Confirmation has been sent. 

LIABILITY AND DISCLAIMERS 

You acknowledge and agree that HEREA publishes information on the Site and/or the Mobile Application as a courtesy to the user. While it is true that HEREA strives to provide accurate and up-to-date information, it is also true that such information may contain technical errors, factual inaccuracies, or typographical mistakes made unintentionally.

HEREA reserves the right to make corrections and modifications to the Site and/or Mobile Application at any time and without prior notice. You accept and acknowledge that the products described on the Site and/or Mobile Application may not be available in your region, and therefore HEREA does not guarantee that the information contained on the Site and/or Mobile Application is suitable for your region, nor that the products described are available for purchase in all regions.

You acknowledge and agree that you assume all responsibility and risk related to the use of the Site and/or Mobile Application. Furthermore, HEREA disclaims all warranties, representations, and endorsements of any kind, whether express or implied, regarding the information you may access from the Website and/or Mobile Application, including, but not limited to, all content, materials, features, and services provided, which are offered without any warranty of any kind, including but not limited to warranties of availability, accuracy, completeness, usefulness, or content of the information, uninterrupted access, and any warranty of title, non-infringement, merchantability, or fitness for a particular purpose.

In addition to the foregoing, you acknowledge that HEREA does not guarantee that the Site and/or the Mobile Application, its functions, content, materials, or available services will be timely, secure, uninterrupted, or error-free, nor that defects will be corrected. Likewise, HEREA does not guarantee that the Site and/or the Mobile Application will meet your expectations or requirements. Therefore, no response, result, information, or material, whether oral or written, obtained by you through the Site and/or Mobile Application outside of these Terms and our Policies shall create any obligation and/or warranty from HEREA to you.

You agree and declare that if you are not satisfied with the Site and/or the Mobile Application, your sole remedy shall be to cease using them. You also accept and acknowledge that any material, document, and/or file downloaded and/or obtained through the Site and/or Mobile Application is done at your own discretion and risk, and that you will be solely responsible for any damage resulting from such download.

You agree and declare that under no circumstances shall HEREA, its affiliates and/or subsidiaries and/or licensees and/or related parties and/or any of their respective directors, officers, employees, agents, content and/or service providers be liable to you for direct, indirect, special, incidental, consequential, exemplary, and/or punitive damages, losses, or causes of action, arising from and/or directly or indirectly related in any way to the use, inability to use, or performance of the Site and/or Mobile Application, or of the content, materials, or functionality accessed through them, including, without limitation, loss of income, expected profits, business, data, or sales, or any other type of damage, whether tangible or intangible, even if HEREA or its representatives have been advised of the possibility of such damages.

In addition, you accept and acknowledge that due to the open nature of the Site and/or Mobile Application, and the possibility of errors in the storage and transmission of digital information, we do not guarantee the accuracy or security of information transmitted to or from the Site and/or the Mobile Application, unless expressly stated otherwise. 

REGISTRATION AND PASSWORDS 

You accept and acknowledge that in order to access some of our services, you must complete an online registration form. You also agree that all information you provide (“Registration Information”) will be truthful and complete. HEREA undertakes to properly handle the information and/or personal data you provide when completing the form, in accordance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties. For more information, please consult our Privacy Notice and our Privacy Policy.

When registering on the Site and/or Mobile Application, you must create a password. You acknowledge and agree that you will be solely responsible for the use of and any actions taken under your password on the Site and/or Mobile Application. Your password may also be used solely to consult information related to potential or completed transactions, make and/or cancel product purchases, modify your preferences, post content, and, in general, access and use the Site and/or Mobile Application, as well as other services available in accordance with these Terms.

In addition to the foregoing, you acknowledge and agree that you are solely responsible for maintaining the confidentiality and security of your password, and you agree not to disclose it to third parties (except to those whom you authorize to use your account). You also assume full responsibility for all transactions and activities carried out through your account, and you expressly release HEREA from any liability related to such transactions or activities.

You declare that you undertake to notify HEREA immediately in the event of loss, theft, or unauthorized use of your account or password. HEREA is not obligated to verify the authority or legitimacy of any use or action carried out under your password, and shall not be liable for any losses resulting from such use or from your failure to comply with the foregoing provisions.

Furthermore, HEREA will take reasonable security precautions when using the internet, telephone, or other means to transmit data or communications, but expressly disclaims all liability for unauthorized access to such information by unrelated persons and/or entities. 

WRITTEN COMMUNICATIONS 

You accept and acknowledge that by using our Site and/or Mobile Application, you agree that communication with HEREA will be primarily conducted through electronic means, as we will communicate with you via email or provide information through notices posted on the Site and/or Mobile Application, push notifications, or messages.

For the purposes of these Terms, you accept this method of electronic communication and acknowledge that all terms, policies, notices, information, and other communications provided to you electronically comply with any legal requirement that such communications be made in writing. 

POSTED CONTENT 

You acknowledge and agree that as part of the use of the Site and/or the Mobile Application, as well as the services offered, you may upload, post, distribute, or disseminate (collectively, “Post”) content and materials, including, without limitation, photographs, images taken by you, titles, and comments, or you may send us such material via email, which, at our discretion, may be published (collectively, the “Posted Content”) on the Site and/or the Mobile Application.

Furthermore, by this act you grant HEREA a worldwide, royalty-free, irrevocable license with all necessary rights for its exploitation, to use the Posted Content on the Site and/or the Mobile Application, as well as to promote and advertise the Site and/or the Mobile Application and the HEREA brand in any manner.

Additionally, you represent and warrant that, in the event you are not the holder of the rights to the Posted Content, you have a license with sublicensing rights from the holder to use it and/or that the holder has waived such rights. You also acknowledge and agree that you are solely responsible for the form, content, and accuracy of the Posted Content. Furthermore, you undertake not to post false or inaccurate material, nor to delete or modify content that was not posted by you.

HEREA reserves the absolute right to remove any Posted Content without prior notice. You also accept such removal without prior notice and waive any claim against HEREA for any reason.

HEREA SHALL NOT BE LIABLE FOR THE FAILURE TO STORE POSTED CONTENT OR OTHER MATERIALS TRANSMITTED THROUGH THE WEBSITE OR THE MOBILE APPLICATION. IT IS RECOMMENDED THAT YOU RETAIN COPIES OF ANY DATA, MATERIAL, CONTENT, OR INFORMATION YOU POST.

HEREA is pleased to receive feedback from each of its users; however, due to the large number of ideas and proposals that HEREA develops or that have been suggested by third parties, it is possible that any idea, suggestion, or proposal you submit may be similar to information already known to us. Therefore, by disclosing any information, idea, suggestion, or other material through the Site and/or the Mobile Application, you agree that:

A.  No confidentiality relationship is established by such disclosure, and the material shall not be considered confidential or secret.
B. HEREA may use such information, idea, suggestion, or material in any manner, without any compensation to you or third parties.
C. HEREA has no obligation to review such information.
D. HEREA has no obligation to maintain such information in confidentiality. 

INTELLECTUAL PROPERTY 

You acknowledge, agree, and declare that the Site and/or the Mobile Application, including but not limited to all its information and content such as texts, data, trademarks, distinctive signs, industrial designs and drawings, product designs, copyrights, wallpapers, icons, characters, illustrations, images, photographs, graphics, music, sounds, messages, software, and the HTML code used to generate the pages (collectively referred to as the “Materials”), belong to HEREA or its suppliers and/or licensors, as applicable. You further acknowledge that all information and content on the Site and/or Mobile Application are duly protected under the current Federal Law for the Protection of Industrial Property and the Federal Copyright Law in Mexico, and their counterparts in countries around the world.

By virtue of the foregoing, you acknowledge, agree, and confirm that you shall not, including but not limited to, download, upload, copy, print, display, perform, reproduce, publish, modify, delete, add, license, post, transmit and/or distribute and/or attempt to obtain legal protection for yourself or through a third party over the “Materials” of the Site and/or Mobile Application, in whole or in part, for public or commercial purposes without the prior written authorization of HEREA.

HEREA reserves the right, for any reason or no reason at all, at its sole discretion and without prior notice, to modify the products and services described on the Site and/or Mobile Application, as well as to terminate, change, suspend, and/or discontinue any aspect thereof, including but not limited to the Materials, functionalities, and availability schedules, in such a way that HEREA shall not be liable to you or to third parties for such actions.

In addition to the foregoing, you acknowledge that HEREA may establish rules and/or limitations for the use of the Site and/or Mobile Application, or restrict your access in whole or in part without prior notice or penalty, such that HEREA reserves the right to modify such rules and/or limitations at any time, at its sole discretion. 

COMMENTS AND REVIEWS 

Comments and/or reviews posted by users of the Site and/or Mobile Application are the sole responsibility of the user who generated them. HEREA is not responsible for the content or the accuracy of such comments or reviews. HEREA reserves the right to edit or delete any comment or review for any reason. 

LINKS TO THIRD-PARTY SITES

You acknowledge and agree that the Site and/or Mobile Application may contain links to websites operated by third parties. These links are provided solely for your convenience and reference. HEREA does not control such sites and is not responsible for their content. The inclusion of links does not imply any endorsement by HEREA or association with the operators of such sites.

Access to any website linked to the Site and/or Mobile Application is at your own risk. HEREA shall not be responsible for the accuracy or reliability of the information, data, opinions, advice, or statements contained on such sites.

USERS CONTENT SUBMISSION 

Any material, information, or other communication that you transmit or post on the Site and/or Mobile Application (“User Content”) shall be considered non-confidential. HEREA shall assume no obligation with respect to the User Content. HEREA and its designees may copy, disclose, distribute, incorporate, and use such content, including all data, images, sounds, texts, and other included elements, for any commercial or non-commercial purpose.

It is prohibited to post or transmit from or to the Site and/or Mobile Application any material that is illegal, threatening, defamatory, obscene, scandalous, inflammatory, pornographic, or profane, or any other content that may give rise to civil or criminal liability under the applicable laws in force in Mexico.

PRIVACY 

We recommend reviewing our Privacy Policy and our Privacy Notice, which also governs the use of the Site and/or Mobile Application, in order to understand our practices regarding the protection of personal data. 

INDEMNIFICATION 

You agree to indemnify and hold harmless HEREA, its affiliates, officers, agents, partners, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party as a result of the User Content, your use of the Site and/or Mobile Application, your connection to such platforms, as well as your breach of these Terms or violation of the rights of third parties. 

TERMINATION

Both you and we may suspend or terminate your account or your use of the Site and/or Mobile Application at any time, for any reason or for no reason at all. You will be personally responsible for any order placed or charge incurred through your account prior to termination.

We reserve the right to modify, suspend, or discontinue, in whole or in part, any aspect of the Website or the Mobile Application at any time and without prior notice. 

ASSIGNMENT 

You may not assign or transfer these Terms, whether by operation of law or otherwise, without the prior written consent of HEREA. Any attempt to assign or transfer without such consent shall be null and void.

HEREA may assign or transfer these Terms, at its sole discretion, without any restriction. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties, their successors, and authorized assigns. 

JURISDICTION 

BY ACCEPTING THESE TERMS AND OUR POLICIES, YOU AGREE AND CONFIRM THAT, FOR THE RESOLUTION OF ANY DISPUTE, CONFLICT, AND/OR CLAIM ARISING FROM OR THAT MAY EXIST IN ACCORDANCE WITH THESE TERMS, THE POLICIES, AS WELL AS THE WEBSITE AND/OR MOBILE APPLICATION, YOU SUBMIT TO THE JURISDICTION OF THE COMPETENT COURTS OF THE STATE OF COAHUILA, EXPRESSLY WAIVING ANY OTHER JURISDICTION THAT MAY CORRESPOND BASED ON PRESENT OR FUTURE DOMICILE OR FOR ANY OTHER REASON. 

GENERAL PROVISIONS 

These Terms, together with the policies and/or operational rules published by us on the Site and/or Mobile Application, constitute the entire agreement between you and us, and govern your use of the Site and/or Mobile Application, superseding any prior or contemporaneous agreement, communication, or proposal, whether oral or written, between you and us (including, but not limited to, previous versions of the Terms).

The fact that HEREA does not exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is declared invalid by a final and unappealable judicial ruling issued by a competent judicial authority, the parties agree that such authority shall endeavor to give effect to the intentions of the parties reflected in such provision, and the remaining provisions shall remain in full force and effect.

The section titles in these Terms are included solely for convenience and have no legal or contractual effect.

HEREA reserves the right to modify these Terms at any time, and such modifications shall take effect on the same day they are made and published on the Site and/or Mobile Application.
